Welcome to CGhorizon LLC. These Terms & Conditions ("Terms") govern your use of our website and the visual media production, strategic communications, and consulting services provided by CGhorizon LLC ("we," "us," or "our"). By accessing our website or engaging our services, you ("Client," "you," or "your") agree to be bound by these Terms.

1. Scope of Services

CGhorizon LLC is a visual media production agency operating nationwide, based in Houston, Texas. Our capabilities include, but are not limited to, photography, videography, event and conference coverage, strategic communications, public affairs, digital content creation, training content, recruitment communications, and sub-contracting support for larger prime contractors.

The specific details, deliverables, timeline, and compensation for any project will be outlined in a separate Statement of Work (SOW), Proposal, or Contract Agreement signed by both parties prior to the commencement of work.

2. Payment Terms & Invoicing

• Estimates & Quotes: Quotes provided are valid for thirty (30) days from the date of issuance unless otherwise specified.

• Retainers & Deposits: A non-refundable deposit or retainer may be required to secure dates for production, events, or conferences, as detailed in the specific project agreement.

• Invoicing: Unless otherwise negotiated (such as Net-30 terms for approved government or prime contractor accounts), invoices are due upon receipt.

• Late Payments: Overdue payments may be subject to a late fee of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to withhold final media deliverables until payment is received in full.

3. Intellectual Property & Usage Rights

Because we operate across both commercial and government sectors, Intellectual Property (IP) rights vary depending on the nature of the engagement:

• Commercial Clients: Unless exclusively designated as a "Work for Hire" in writing, CGhorizon LLC retains the underlying copyright to all raw media, photographs, and video footage. The Client is granted a broad, non-exclusive, perpetual license to use the final deliverables for their intended promotional, internal, or public-facing purposes.

• Government & Prime Contractors: For federal and state agency projects, IP rights, data rights, and copyright ownership will be governed strictly by the clauses specified in the underlying Prime Contract or Task Order (e.g., specific FAR/DFARS Data Rights clauses). Deliverables outlined as property of the U.S. Government will be transferred accordingly.

• Promotional Use: Unless explicitly prohibited by Non-Disclosure Agreements (NDAs) or government security classifications, CGhorizon LLC reserves the right to use non-confidential deliverables in our portfolio, website, and marketing materials to showcase our capabilities.

Federal & Prime Contractor Provisions: In the event of a conflict between these general Terms & Conditions and the specific terms of a government subcontract, Statement of Work (SOW), or federally mandated flow-down clauses (FAR/DFARS), the government-specific contract provisions shall supersede these Terms to the extent of the conflict. CGhorizon LLC complies with all required federal guidelines for outreach, engagement, and strategic communication support.

4. Client Responsibilities

To ensure the successful execution of media production and communications projects, the Client agrees to:

• Provide clear guidance, timely feedback, and necessary project briefs.

• Secure all necessary venue permissions, location releases, and facility access required for photography and videography.

• Ensure that individuals being recorded or photographed have provided necessary consent or model releases, unless the event is a public gathering where such releases are legally unnecessary.

• Provide a safe working environment for CGhorizon LLC staff and equipment during on-site productions.

5. Cancellations, Postponement & Rescheduling

If the Client cancels or postpones a scheduled production or event coverage:

• Notice provided less than 48 hours prior to the call time may result in the forfeiture of the deposit and billing for costs already incurred (e.g., equipment rentals, travel arrangements, crew booking).

• In the event of force majeure (acts of God, extreme weather, pandemics, or other unforeseeable emergencies), both parties will work in good faith to reschedule the production without penalty, barring non-refundable third-party expenses.

6. Limitation of Liability

CGhorizon LLC takes the utmost care with equipment, data management, and media backup. However, in the unlikely event of total data loss, equipment failure, or other circumstances beyond our control that prevent the delivery of services, our liability shall be limited to the refund of all monies paid for that specific project or deliverable. In no event shall CGhorizon LLC be liable for indirect, incidental, punitive, or consequential damages arising out of or related to our services.

7. Confidentiality

We respect the sensitive nature of strategic communications, public affairs, and internal training content. CGhorizon LLC agrees to keep all proprietary client information confidential and will not disclose sensitive data to unauthorized third parties. Formal Non-Disclosure Agreements (NDAs) provided by the Client will be honored and signed upon request.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any disputes arising out of these Terms or the services provided shall be resolved first through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Houston, Texas.

9. Amendments

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website with an updated "Effective Date." Continued use of our website and services constitutes acceptance of the revised Terms.
